5. Payments and Refunds

For paid services:

• Pricing is provided during the scoping process and agreed upon before work begins
• Payments are processed securely through Stripe
• Service agreements include specific deliverables, timelines, and payment terms outlined in a separate scope of work or proposal
• Refund policies are specified in individual service agreements; digital products are non-refundable once delivered

7. Intellectual Property

All content on this Site — including text, design, graphics, logos, and code — is the property of Heather Grizzard and is protected by United States copyright and intellectual property laws.

• Site content: You may not reproduce, distribute, or create derivative works from our Site content without express written permission
• Client deliverables: Custom systems, automations, and configurations built for clients become the client's property upon full payment, unless otherwise specified in the service agreement
• Templates and digital products: Purchased templates and digital products are licensed for the purchaser's use only and may not be resold, redistributed, or shared

8. Confidentiality

During the course of our engagement, both parties may share confidential business information. We agree to:

• Keep all client business information, systems access, and proprietary data confidential
• Not disclose client information to third parties without consent
• Use client information only for the purpose of delivering agreed-upon services

You agree to keep proprietary methods, tools, and processes shared during our engagement confidential.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or services
• Our total liability for any claim related to our services shall not exceed the amount you paid for the specific service giving rise to the claim
• We are not responsible for results, revenue, or business outcomes achieved (or not achieved) through the use of AI systems we build or recommend

You agree to indemnify and hold harmless Heather Grizzard from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our Site or services, your violation of these Terms, or your violation of any rights of a third party.

11. Third-Party Services

Our services may involve integration with third-party platforms (GoHighLevel, Stripe, Claude/Anthropic, etc.). We are not responsible for the terms, privacy practices, or availability of third-party services. Your use of third-party platforms is governed by their respective terms of service.

12. Termination

We reserve the right to terminate or suspend your access to our Site or services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may terminate your use of our services at any time by contacting us.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved through good-faith negotiation. If negotiation is unsuccessful, disputes will be submitted to binding arbitration in Tennessee in accordance with the rules of the American Arbitration Association.
